To the attention of the shareholders of B.C "Victoriabank" S.A.
Dear shareholder,
Commercial Bank "Victoriabank" JSC., inform you that at the Extraordinary General Meeting of the Shareholders, which took place on August 21, 2024, it was decided to distribute capital in the form of dividends from the undistributed profit for the year 2022, in the amount of 180,750,657.93 MDL, which constitutes 7.23 lei per share. The payment of dividends will be made in accordance with the List of shareholders registered in the Central Depository Register, compiled as of July 19, 2024.
Dividends will be paid to shareholders in accordance with the legislation in force, within 3 months from August 30th, 2024 – the date of publication in the "Official Gazette" of the Republic of Moldova of the decision of the Extraordinary General Meeting of Shareholders.
In accordance with art.47 (14) of the Law on Joint Stock Companies no. 1134/1997, dividends that were not received by the shareholder due to their own fault within 3 years from the date of disclosure of the information about the payment of dividends, shall be transferred to the income of the company and cannot be claimed by the shareholder.
In accordance with the requirements of the Fiscal Code of the Republic of Moldova no.1163-XIII of 24.04.1997, the Bank will withhold at source the income tax on dividends, as follows:
- 6% of the gross value of dividends paid to resident individuals;
- 6% of the gross value of dividends paid to non-resident individuals and legal entities.
The payment of dividends to the Bank's shareholders will be made as follows:
1. To the Bank's shareholders who have current accounts in Moldovan lei in C.B. "Victoriabank" JSC - the distribution of dividends will take place on 20.09.2024, by transfer to one of the current accounts at the Bank's discretion. If the shareholder intends to receive the dividends in a different bank account than the one existing at the Bank, please inform us by 16.09.2024, by personally submitting/through a representative a request.
2. To the Bank's shareholders who do not have a current account within C.B. "Victoriabank" JSC – the distribution of dividends will take place starting from 20.09.2024, based on the following documents:
- the dividend transfer request attached to this letter, signed in ink or with a qualified electronic signature by the shareholder (the administrator of the legal entity or their representative authorized by proxy);
- the valid identity document of the shareholder (the administrator of the legal entity or their representative authorized by proxy);
- the excerpt from the state register of legal entities (for shareholder legal entities).
The documents related to the distribution of dividends should be presented at the Bank's head office, MD2004, Republic of Moldova, Chisinau municipality, str. 31 August 1989, no. 141, or by sending to the electronic address SecGAPA@vb.md; (in the case of electronic signature qualified).
